This privacy policy describes the types of information Anivive Lifesciences, Inc., together with its subsidiaries and affiliates, including without limitation Vidium, LLC may collect from you or that you may provide when you visit our website at www.anivive.com  or those of our affiliates (e.g. Vidium, LLC’s website at https://vidiumah.com/) (collectively, our “Websites”) and our practices for collecting, using, maintaining, protecting, and disclosing that information.

In this privacy policy, we may refer to Anivive Lifesciences, Inc., together with its subsidiaries and affiliates, including without limitation Vidium, LLC by terms such as ”we”, “us” or “our”, and we may refer to you, the visitor to our Websites, as “you” or “your.”

This policy applies to information we collect:

• On our Websites.
• In email, text, and other electronic messages between you and our Websites.
• From follow up phone or electronic communications between you and us.

It does not apply to information collected by:

• us offline or through any other means, including on any other website operated by us or any third party; or
• any third party, including through any application or content (including advertising) that may link to or be accessible on or from our Websites.

Our Website is not intended for children under 13 years of age. No one under age 13 may provide any information to our Websites. We do not knowingly collect personal information from children under 13. If you are under 13, do not provide any information about yourself to us, including your name, address, telephone number, email address, or any other personal information about yourself. If we learn we have collected or received personal information from a child under 13 without verification of parental consent, we will delete that information. We collect several types of information from and about users of our Websites, including information:

• by which you may be personally identified, such as name, postal address, e-mail address and telephone number, and as it relates to veterinarian users of our Websites, physical practice address, veterinarian license number, and state of licensure  (“personal information” as defined under applicable privacy laws of relevant jurisdictions);
• that is about you but individually does not identify you, such as information about your or your customer’s pets; and/or
• about your internet connection, the equipment you use to access our Website and usage details.

We collect this information:

• Directly from you when you provide it to us; or
• Automatically as you navigate through the Websites. Information collected automatically may include usage details, Internet Protocol (IP) addresses, and information collected through cookies or other tracking technologies.

Information You Provide to Us. The information we collect on or through our Website may include:

• Information that you provide by filling in forms on or otherwise submitting information to our Websites, including for veterinary users of our Website(s) who have signed up for an “Engage” practice management account at  www.anivive.com/engage. This includes information provided at the time you sign up for more information about a study, as well as information you provide us in connection with submitting product/service orders through our Websites, including orders for SearchLight DNA™. We may also ask you for information when you report a problem with our Websites. 
• Customer Records: purchase and order history; billing and shipping information; and any other personal data about your transactions with us. This data is collected directly from you when you buy something from us, from data analytics providers when you interact with our Websites, or from service providers, like vendors who process payments on our behalf.  
• Financial Information: payment card information and other financial account information. This data is collected directly from you voluntarily when you buy something from us.
• Records and copies of your correspondence (including email addresses), if you contact us. This includes contents of phone calls, texts, or chats; any audiovisual information provided in your communications. This data is collected directly from you when you contact us or interact with our Sites, or from service providers when you contact customer support.  
• Your responses to surveys that we might ask you to complete for research purposes.
• Your search queries on the Website.

Information We Collect Through Automatic Data Collection Technologies. As you navigate through and interact with our Websites, we may use automatic data collection technologies to collect certain information about your equipment, browsing actions, and patterns, including:

• Details of your visits to our Website, including traffic data, location data, logs, and other communication data and the resources that you access and use on the Website.
• Information about your computer and internet connection, including your IP address, operating system, and browser type.

The information we collect automatically is statistical data and does not include personal information. It helps us to improve our Website and to deliver a better and more personalized service, including by enabling us to:

Additionally, with respect to information collected by us in connection with orders placed with and fulfilled by us for SearchLight DNA™, we may, with your consent and affirmative click-through of a link, share information, including personal information, submitted by veteranian users of our Websites (e.g. veterinarian name, veterinarian  email information, and veterinarian practice address information, pet owner name information, pet name, species, gender, and date of birth information and other data)  with third parties for legitimate business purposes (e.g. to licensed veterinary compounding pharmacies for fulfilling prescriptions issued by veterinarians).

We may disclose information that does not identify you as a particular individual, such as aggregated information about our users, without restriction.

We may disclose personal information that we collect or you provide as described in this privacy policy (subject to the opt-out described below):

• To the clinical trial organization conducting the clinical trial that may be appropriate for your pet.
• To contractors, service providers, and other third parties we use to support our business (e.g. to licensed veterinary compounding pharmacies for fulfilling prescriptions issued by veterinarians) and who are bound by contractual obligations to keep personal information confidential and use it only for the purposes for which we disclose it to them.
• To our affiliates.
• To fulfill the purpose for which you provide it.
• For any other purpose disclosed by us when you provide the information.
• With your consent.
• To a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of our assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which personal information held by us about our Website users is among the assets transferred.

Within our enterprise, employees and contractor may need to access your information, including personal information, to perform their duties. 

Your information, including personal information, may also be transferred or processed outside your country or jurisdiction, in particular if you are a customer of our SearchLight™ DNA diagnostic product/service offering that is located outside of the United States. 

With respect to SearchLight™ DNA, the personal information that we collect—such as veterinarian name and professional contact information, clinic address, email address, pet owner name, and associated diagnostic order information—may be transferred to, stored in, or otherwise processed in the United States, where our primary laboratory information management systems, operational support functions, and cloud-hosting infrastructure are located. We transfer this information to the United States only to the extent necessary to perform the diagnostic services requested by the submitting veterinarian or pet owner, including processing of biological samples, delivery of diagnostic reports, operational support, and fulfillment activities related to veterinarian-prescribed products.

For individuals located in the European Union, European Economic Area, or the United Kingdom, transfers of personal data to the United States are made in compliance with Articles 44–49 GDPR.
Where required, we rely on the European Commission’s Standard Contractual Clauses (SCCs) for controller-to-processor or controller-to-controller transfers, as applicable. A copy of the SCCs with our applicable service providers may be provided upon request. We process EU personal data only for the purposes described in this Privacy Policy and in accordance with GDPR requirements.

For individuals in Canada, we may transfer personal information to service providers located in the United States. These transfers are considered a “use” of personal information rather than a new disclosure under Canadian law. As such:

• Your consent to use our products and services, including SearchLight DNA™ and the Engage platform, includes consent to these transfers, provided they are for purposes consistent with those for which the information was originally collected.
• We use contractual safeguards and service-provider oversight to designed to ensure that the transferred information receives a level of protection comparable to that required under Canadian privacy laws.

In accordance with Québec’s privacy legislation (Law 25), we have conducted a privacy impact assessment evaluating the transfer of personal information outside Québec. This assessment considered the nature of the information, the purposes for which it is used, the measures in place to protect it, and the legal framework of the jurisdictions where it is processed. We transfer personal information outside Québec only when the assessment indicates that it is reasonably expected to receive protection that is reasonably equivalent to that required under applicable Québec privacy laws. 

For individuals in Hong Kong, personal data may be transferred to the United States for the purposes described in this Privacy Policy. We provide such information only to parties who are subject to confidentiality obligations and to service providers that support our business, including the SearchLight DNA diagnostics business. Cross-border transfers are handled in accordance with the Personal Data (Privacy) Ordinance. 

For individuals in South Korea, the transfer of personal information to a foreign country is governed by the Personal Information Protection Act (PIPA).
The following details apply to overseas transfers of personal information in connection with SearchLight™ DNA and Engage products and services to the United States:

• Items of personal information transferred: veterinarian name, clinic information, email address, pet owner name, diagnostic order information, and operational records necessary to perform the requested services.
• Recipient: Anivive Lifesciences, Inc, 3777 Worsham Ave, Suite 200, Long Beach, CA, 90808. Contact: [email protected]
• Country of recipient: United States of America.
• Date and method: transferred electronically on a continuous basis. 
• Purpose of transfer: to perform diagnostic testing, manage test orders and results, fulfill veterinarian-ordered products, and provide operational support.
• Retention period: retained for the period required to provide services and fulfill regulatory or operational requirements, then securely deleted or anonymized.
• Right to refuse: you may refuse consent; however, if you do so, we may be unable to provide diagnostic or related services.
• Potential risks: personal information processed in the United States may be subject to U.S. laws, which differ from those in Korea.

Where required under PIPA, we obtain your explicit, unbundled consent before transferring your personal information to the United States.

California Civil Code Section § 1798.83 permits users of websites that are California residents to request certain information regarding disclosure of personal information to third parties for their direct marketing purposes. We do not disclose your personal information to third parties for their direct marketing purposes.

We have implemented measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration, and disclosure. All information you provide to us is stored on our secure servers behind firewalls.
